Rollin' Oldies Car Club of Lebanon
Constitution
ARTICLE I - Name
The name of this organization shall be "Rollin' Oldies Car Club of Lebanon" and
shall be
referred to as such herein.
ARTICLE II - Duration
The duration of the Rollin' Oldies Car Club of Lebanon shall be perpetual.
ARTICLE III - Location
The location and post office address of the principal office of the Rollin'
Oldies
Car Club of Lebanon shall be P.O. Box 194 Lebanon, OR 97355
ARTICLE IV - Objectives
Section 1.
The objectives of the Rollin' Oldies Car Club of Lebanon are to Promote
fellowship
and further the knowledge of this organization in all matters pertinent to
classic and
vintage automobiles, and to promote goodwill among our members
and our communities.
Section 2.
To carry out these purposes, the Rollin' Oldies Car Club of Lebanon is
authorized
to accept, expend, contribute, disburse and otherwise handle and dispose of
funds
for such purposes, either directly or by contributing to individuals, or other
private
or public agencies organized for similar purposes; to promote its objectives
through
cooperation with similar organizations in operation in various parts of the
United States
of America; and to do any and all things necessary or proper in connection
with, or
incidental to, the forgoing purpose.
ARTICLE V - Plan of Operation
Section 1.
To direct, manage, supervise, and control the business, property, and funds of
the
Rollin' Oldies Car Club of Lebanon, as a non-profit, mutual benefit corporation
in Oregon.
Section 2.
To assist and cooperate with similar organizations within the State of Oregon
and
the United States in carrying out like objectives, to the extent such
assistance and
cooperation are not in conflict with the objectives of the Rollin' Oldies Car
Club
of Lebanon, its Constitution or By-Laws.
Section 3.
To make surveys, conduct research and experiments, prepare and issue
publications
and periodicals, to sponsor private and public events designed to carry out the
objectives of the Rollin' Oldies Car Club of Lebanon.
Section 4.
The work of the Rollin' Oldies Car Club of Lebanon, shall not be conducted for
private gain, although it may collaborate with business organizations or
individuals
on projects of general public interest and importance when such projects are
consistent with the objectives of this organization.
Section 5.
Upon the permanent dissolution of the Rollin' Oldies Car Club of Lebanon, its
assets, including all funds and properties owned by or becoming due to the
Rollin'
Oldies Car Club of Lebanon shall be applied as follows:

All liabilities and obligations of the Rollin' Oldies Car Club of Lebanon
shall be paid, satisfied and discharged, or adequate provision shall be
made thereof.

Assets held by the Rollin' Oldies Car Club of Lebanon upon condition,
require return, transfer or conveyance, which condition occurs by reason of
dissolution, shall be returned, transferred or conveyed to the original
owner(s).

No part of the assets of the Rollin' Oldies Car Club of Lebanon shall be
distributed to or inure to the benefit of any member, or officer of the Rollin'
Oldies Car Club of Lebanon.

The remaining assets shall be transferred and conveyed to a local non-profit
organization as may be designated by the officers and the membership, to be
used by the organization for its uses and purposes.
Section 6.
Club expenditures, liabilities or obligations shall not exceed its liquid assets
or the elected officers and members will be liable for any and all obligations.
ARTICLE VI - Membership
Membership goals shall be:
Section 1.
The membership of the Rollin' Oldies Car Club of Lebanon shall consist of those
individuals who:

Support the interests and goals of the Rollin' Oldies Car Club of Lebanon.

Have paid the set fees/dues for membership.
-
Have attained the age of eighteen (18).
-
Promote good will in the community.
-
Promote safe driving.
Section 2.
Qualifying vehicles shall have been manufactured by a United Sates based
corporation prior to 1974, or be a non-import, non-4x4 pick-up, or replica of
a qualifying vehicle.
Section 3.
Termination of Membership

A member May be removed for any of the following reasons: Failure to pay
annual dues. At the end of six months into the membership year, the Treasurer
shall notify the delinquent member, in writing, that if dues are not paid,
membership shall be terminated.

Membership may be terminated for conduct not in keeping with the best
interest of the Rollin' Oldies Car Club of Lebanon. Such removal must be by
at least a two-thirds vote of the members present and a voting at a meeting
in which the item of removal was on a printed agenda sent to all members
not less than 20 days prior to the meeting.

Members removed for failure to keep dues current may be reinstated at any
time after delinquent dues have been paid, but without the repayment of
initiation fees.

A member removed for unseemly conduct may re-apply for re-admission
under the following conditions.

Repayment of initiation fees.
-
Must wait least one full calendar year from date of expulsion before
application for re-admission.

A two-thirds (2/3) majority vote of the current executive committee.
ARTICLE VII - Stock
The Rollin' Oldies Car Club of Lebanon shall have no capital stock.
ARTICLE VIII - Officers and Directors
Section 1.
The elected officers of the Rollin' Oldies Car Club of Lebanon shall consist
of the following:

Vice President

Secretary
-
Treasurer
-
Sergeant-At-Arms
-
Historian/Photographer
-
Cruisemaster
-
Newsletter Editor
-
Web Master
-
And such other positions as the organization may deem necessary.
Section 2.

The person elected as President shall have previously been a member of the
Rollin' Oldies Car Club of Lebanon at least one year prior to nomination for
President.

Previous President may be invited to serve the current officers in an advisory,
but non-voting capacity.

The term of office of such officers shall commence upon their installation to
office and shall continue until their respective successor shall have been
elected,
qualified, and installed. All officers are elected to a term of two (2) years,
rotating
as follows: President, Secretary, Sergeant-At-Arms, and Historian elected one
year,
and all others elected the next year.

Installation of officers shall be at the December Or January Meeting.
Section 3.
Elections at the annual meeting shall be by written ballot except when there
is
only one candidate for the office.
Section 4.
Officers shall be residents of the State of Oregon. Only active members may be
officers of this organization.
Section 5.
Any officer or committee chairperson may be removed for conduct not in keeping
with the best interest of the Rolling' Oldies Car Club of Lebanon. Such removal
must be by at least a two-thirds (2/3) vote of the membership present and voting
at a meeting in which the item of removal was on a printed agenda sent to all
members not less than twenty (20) days prior to the meeting.
Section 6.
Vacancies created during a term of office shall be filled by the appointment of
the remaining officers.
ARTICLE IX- Amendments
This Constitution may be amended or repealed at any annual meeting or other
duly
called meeting of the Rollin' Oldies Car Club of Lebanon by a two-thirds (2/3)
majority vote of the duly accredited members entitled to vote, present and
voting.
